Requirements
This position represents the Washington State Investment Board (WSIB) and the Washington State Law Enforcement Officers’ and Fire Fighters’ Plan 2 Retirement Board. The position primarily provides client advice which can include:
- Writing client advice memoranda;
- Reviewing, negotiating, and drafting complex investment contracts related to private market investments (i.e., private equity, real estate, tangible assets, and the innovation portfolio) of the State’s retirement funds (and other trust funds) in consultation with outside special assistant attorneys general and investment officers at the WSIB;
- Reviewing contract amendments, consents, limited partner advisory committee consents, and most favored nation election forms;
- Providing legal advice, both written and oral, relating to investments, securities, pensions, employee benefits, constitutional law, tax, open public meetings, public records, and board governance;
- Providing litigation recommendations to the WSIB with respect to domestic and foreign securities litigation.
Qualifications
In addition to meeting the requirements to serve as an Assistant Attorney General, preferred applicants for this position should have:
- At least three years of experience as a transactional attorney working with investments (or a combination of at least one year of experience as an attorney AND at least three years’ work experience in finance/investments);
- Strong analytical, research, and writing skills and the ability to consistently produce high-quality work;
- Strong organizational skills and the ability to successfully handle competing, time-sensitive assignments;
- The ability to develop and maintain strong client relationships;
- The ability to work both independently and collaboratively;
- Demonstrated client advice skills, including providing high level client advice to executive leadership;
- Excellent analytical, writing, and presentation skills;
- A demonstrated commitment to ethics and to diversity, equity, and inclusion;
- The ability to develop and maintain great working relationships with a complex client agency and enjoying problem solving in collaboration with your clients;
- A strong commitment to public service; and
- Experience working with outside counsel.
The following skills and knowledge are preferred:
- Significant experience reviewing, drafting, and negotiating complex contracts (including investment contracts and custodial contracts);
- Significant expertise with private market investments in private equity, real estate, and tangible assets, including through private investment funds (both through limited partnerships and limited liability companies), separately managed accounts, and co-investment funds;
- Familiarity with federal and state securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and state blue sky laws, in addition to the regulations surrounding private offerings, including Regulation D, and the rules surrounding insider trading;
- Familiarity with federal and state securities regulators, including the U.S. Securities and Exchange Commission and state securities regulators;
- Familiarity with federal and state pension laws, including the Employee Retirement Income Security Act (ERISA);
- Experience with federal tax law;
- Experience with domestic and foreign securities litigation;
- Familiarity with the evolving environmental, social, and governance (ESG) regulatory environment;
- Experience reviewing proposed legislation; and
- Experience with state law issues including sovereign immunity, limitations on indemnification, open public meetings, public records, records retention, public procurements, internal audit, and jurisdiction and arbitration clauses.
Applicants must have graduated from a law school accredited by the ABA or completed the WSBA's Rule 6 Law Clerk Program; and be licensed to practice law in Washington State. (Applicants who meet the other stated qualifications and are actively pursuing admission will also be considered.) This Assistant Attorney General position is represented by the Association of Washington Assistant Attorneys General (AWAAG) / Washington Federation of State Employees (WFSE) AFSCME Council 28, AFL-CIO.
AAG salaries are set between $82,212 and $153,996. The exact amount is set in accordance with Appendix B of the AWAAG CBA.
Positions located in King County are eligible for 5% King County Assignment Pay.
